Nadeea R. Zakaria focuses her practice on financial services matters. She has extensive experience advising registered funds, their boards and investment advisers on various regulatory, compliance and business matters. She has particular expertise with respect to business development companies and private credit funds, among other alternative strategy investment funds, as well as U.S. registered investment companies, including mutual funds and closed-end funds. She assists clients in their capital-raising efforts and in navigating complex operational and structuring issues.
Ms. Zakaria also advises issuers in connection with transactional matters, including public and private offerings of equity and debt securities. She has advised clients on the development and registration of new funds, fund reorganizations, fund and adviser compliance programs and codes of ethics, marketing and disclosure issues and fund governance matters. She has experience seeking exemptive relief from the Securities and Exchange Commission and counsels clients on compliance with SEC-reporting obligations under the Investment Company Act of 1940 and the Securities Exchange Act of 1934.
